These Terms of Service ("Terms") govern your access to and use of the ayudaconnect website and services (the "Services"). By using the Services, you agree to these Terms.

1. The Services

ayudaconnect provides website design, AI, automation, and content services for small and local businesses. Specific deliverables, fees, and timelines are described in your order or proposal.

2. Accounts and eligibility

You must be at least 18 and able to enter into a binding contract. You are responsible for the accuracy of information you provide and for activity under your account.

3. Fees and billing

Fees are due as stated in your order. Recurring plans renew automatically until canceled. Late or failed payments may result in suspension of the Services.

4. Your content

You retain ownership of content you provide. You grant us a worldwide, non-exclusive license to host, use, and display it solely to provide the Services. You represent that you have the rights to all content you submit.

5. SMS and email communications

By providing your contact information you consent to receive transactional and, where you opt in, marketing communications. Message and data rates may apply. You can opt out of SMS by replying STOP and opt out of marketing email via the unsubscribe link. See our Privacy Policy for details.

6. Acceptable use

You agree not to use the Services to:

• Violate any law or third-party right.
• Send spam or unlawful messages.
• Interfere with, probe, or disrupt the Services or attempt to access them by other means.
• Upload malicious code or infringing content.

7. Third-party services

The Services may integrate with third parties (e.g., hosting, messaging, analytics, payments). We are not responsible for those third parties' acts or omissions.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AYUDACONNECT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless ayudaconnect from claims arising out of your content, your use of the Services, or your violation of these Terms.

11. Termination

We may suspend or terminate access if you breach these Terms or use the Services in a way that risks harm to us or others. Sections that by their nature should survive termination will survive.

12. Governing law

These Terms are governed by the laws of the United States and the state in which ayudaconnect operates, without regard to conflict of laws principles.

13. Changes

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance.
